Clause 1The service
We contact the past enquiries, old quotes and previous customers you make available to us, by text message and email, to restart conversations and book estimates. We do not place outbound phone calls unless we both agree it in writing. You keep every contact. Only what is itemised on the Start Sheet is included.
Clause 2Locations
The Start Sheet covers one location, meaning one branch or territory with its own service area. At kickoff we confirm by email that first location, the legal company that runs it, its service area and the list count, and once you confirm it by reply that email forms part of this agreement. Until another location is added, we only message the first location's contacts. Each additional location is added in writing once the first is live, at $1,000 per month billed from its start date, with no setup fee, and has its own fifteen qualified estimates, $150 rate and $1,500 monthly cap. A location run by a different legal company is not added by email: that company signs its own Start Sheet before any of its contacts are messaged. We message a location's contacts only in the legal name, and from the registration, of the company named on that location's Contact List Certification. Permission given to one company is never used for another.
Clause 3The guarantee
Go live is the date the first text is sent to the first location's contacts. Email alone does not start it. A qualified estimate is an appointment booked through the system we operate for you, inside the service area and service types confirmed at kickoff, that the prospect attended. Attended means someone from the household met your estimator at the booked time, on site or on a scheduled video call. Cancelled, no-show and self-sourced appointments do not count. The guarantee period is the ninety days from go live. A closed job is a job you sign, at its contract value before tax, with a contact on the first location's list who booked and attended an estimate through the system during the guarantee period, where you sign the job during that period or up to thirty days after it. Guarantee fees are the setup fee and the first location's monthly and estimate fees billed for the guarantee period. Fees for locations added later, and third party costs, are not included, and locations added later are outside the guarantee. Within ten business days after the period ends you send us the closed jobs signed so far, with each customer's name and contract value, and during any free months you tell us of each further closed job within ten business days of signing it. We may ask to see the signed contract or invoice, and we answer within ten business days. If closed jobs total less than the guarantee fees, no monthly fee and no estimate fees are charged for the first location from the day after the guarantee period ends until closed jobs reach that total or for two months, whichever comes first, and we keep working through that time. Phone and texting costs (carrier, numbers and usage) are still charged at cost during that time. This is a credit of our fees, not a refund. The guarantee applies where the kickoff count shows at least 2,000 old quotes and past enquiries from the last two years, counted across all your locations together and not per location. We confirm that count with you by email at kickoff, before build work begins. Build work means the first of: setting up your account, writing your scripts, or filing your carrier registration. If you signed expecting at least 2,000 and the count has fewer, you may cancel within five business days of the count and we refund the setup fee, or you may continue without the guarantee. If you sign knowing your list has fewer than 2,000, you receive the service without the guarantee and the setup fee is not refunded once build work begins. If the carriers have not approved your texting registration within thirty days after you give us complete registration details, you may cancel and we refund the setup fee, less third party costs already paid. The guarantee also needs you to return system approvals (scripts, sequences and sending rules) within two business days, send a written quote within two business days after each estimate booked through the system, and keep your account paid up. If you miss one of these, we tell you by email, you have seven days from that email to put it right, and the guarantee lapses only if it is still not put right after those seven days. A missed estimate does not end the guarantee. It is simply not counted. The guarantee period pauses while the access in clause 6 is missing or while something we need from you is late, and we tell you by email when a pause starts and ends.
Clause 4Exclusions
We are not responsible for a contact that has no valid phone number or email, for a carrier, telecoms provider or platform that delays, filters or blocks a message, or for delivery prevented by an outage outside our reasonable control.
Clause 5Fees
All amounts are in US dollars. The amounts on the Start Sheet are due on signature and cover setup and the first month for the first location. Each month after is charged at the recurring amount on the same date to the payment method on file. For each location, the monthly fee covers the first fifteen qualified estimates in each billing month. Beyond fifteen, $150 applies per additional qualified estimate, up to $1,500 per location in any billing month, invoiced monthly in arrears and charged to the payment method on file. You receive the itemised list, by name and date, at least seven days before the charge, and any line you dispute in those seven days, with a reason, is held off the charge until we answer in writing. Third party costs (telephony, messaging, carrier registration, CRM) are billed at cost or held on your own accounts, and we tell you what they are before anything is switched on.
Clause 6What we need from you
Access to your CRM, calendar and lead sources, connected with you at kickoff as a login you can remove at any time (while it is removed the service and the guarantee period pause); your business details for the carrier registration; your current pricing, service area and availability; and a named person who answers within one business day during setup. Delays push out go live and pause the guarantee period, as clause 3 says.
Clause 7Your contacts and permission
You confirm that every contact you give us was quoted or served by, or made an enquiry to, the company named for that location, was not bought, rented, scraped or appended, and has not asked you to stop. Before we message a list, you sign a Contact List Certification for it, stating for each channel the permission you hold. A past quote, a past enquiry or an existing customer relationship is not, on its own, treated as written consent to marketing texts. We only text the contacts for whom you certify the permission the law requires for marketing texts to them. The other contacts get email only, or are left out. You remain the sender of record: messages go out under your business name, from a number and a texting registration in your business's name. We prepare and file the registration, and you confirm the details in it are true.
Clause 8How we send
Before the first send, and at least every thirty days while the campaign runs, we check every list against the National Do Not Call Registry, the state do not call lists that apply, and your own do not contact list, and we remove every match. We send texts only when it is between 8:00 and 20:00 (9:00 and 20:00 in Connecticut) both at the address on the record and in the time zone of the phone number's area code. A contact with no usable address is not texted until we have one. These time and address rules do not apply to speed to lead services: when someone has just asked you to contact them, we reply straight away, at any hour. We do not text contacts whose address or phone area code is in Texas, Florida, Oklahoma, Washington or Maryland. Those contacts get email only. The first text names your business and says how to opt out, and every email carries your business name, a postal address and a working unsubscribe link. Our agent works from the scripts, sequences and facts you approve in the Campaign Messaging Approval, and a material change to them needs a new approval. It does not send a price, discount, date or claim beyond the approved facts: when someone asks for one, it hands the conversation to your team or ours. A person on our team reviews messages after they are sent as a quality check, which is not a substitute for the approval. When someone asks whether they are talking to a person, it says it is an automated assistant working for your business, and it says so up front wherever the law requires it. STOP, END, QUIT, CANCEL, UNSUBSCRIBE and any plain request to stop are honoured at once, across every location and channel under this agreement, with one short confirmation and no further marketing. Before any send, we apply every stop received under this agreement and under any other Quote Comeback agreement with us signed by you or by a company under common ownership or control with you, across all of those agreements, locations and channels. We keep the opt-out record for at least ten years, including after this agreement ends, and do not message that person again. We speak in your name and make no claims about your pricing, availability or workmanship that you have not given us.
Clause 9Your data
We act as your service provider for your contacts' personal information. We use it only to deliver this service. We never sell it, never share it for advertising unless an ads add-on you sign says so, never use it for our own marketing, never combine it with personal information from another client or from our own business, and never use it to train a general AI model. To carry, store and draft messages, contact details and message content pass through the vendors listed at growthlio.com/sub-processors. We give you fourteen days notice by email before adding or replacing a vendor that handles your contacts' data, and you may object on a data protection ground within those fourteen days. If you do, that vendor does not handle your contacts' data, and if we cannot run the service without it, either party may end this agreement and monthly fees stop on the notice date. We help you answer a consumer's request about their data. Everyone on our team who can see your contacts' data is bound by written confidentiality. If we confirm a security breach affecting your contacts' data, we tell you within seventy two hours what happened, which records and roughly how many people are affected, what we have done, and who to call. You own your contacts, conversation records and campaign data. On termination we hand them over in a usable format and stop processing within five business days, except that we keep message logs and consent records for five years after the last message, and opt-out records for at least ten years, only to honour opt-outs and to answer a complaint or claim. We keep our own software, prompts and workflows. Scripts written for you are yours to keep using for your own business.
Clause 10Term and cancellation
Month to month from signature, no minimum term. Either party may cancel on thirty days written notice. The setup fee is not refundable once build work has begun, except as clause 3 says, and if the guarantee is not met the remedy is the fee credit in clause 3. Either party may end this agreement at once by written notice if the other materially breaches it and does not put it right within ten days, or if continuing to send would break messaging law. We may pause sending at once, and tell you why, if we reasonably believe a list or a message creates that risk. If a payment fails, we may pause the service after seven days notice by email until it is paid.
Clause 11Confidentiality and case studies
Each party keeps the other's commercial information confidential and uses it only to perform this agreement, and this survives termination. We only name your business or publish your results as a case study if you say yes in writing to that case study. We never share your customers' names or details. You may withdraw a yes in writing at any time, and we stop new use within fourteen days.
Clause 12Responsibility
You will defend us against third party claims, and pay the fines, statutory damages and reasonable defence costs, arising from a contact you certified not having the permission you certified, where we sent on the channel you certified and clause 8 had not excluded the contact, or from a fact you approved being untrue. We will defend you against third party claims, and pay the fines, statutory damages and reasonable defence costs, arising from a message we sent that breaks clause 8: after an opt-out, outside the hours in clause 8, into a state excluded in clause 8, without the do not call check clause 8 requires or to a number that check removed, on a channel the Contact List Certification did not allow, or stating a price, discount, date or claim beyond the approved facts; or from any call or message that clause 1 or clause 2 did not allow, including an outbound call placed without written agreement and a message in a legal name or from a registration other than the one clause 2 names; or from a message that leaves out the business name, the opt-out wording or the automated assistant disclosure clause 8 requires. The party asking for cover tells the other promptly and lets it run the defence, and neither settles in a way that admits fault for the other without its written consent. Each party's cover under this clause is limited to the fees you paid us in the twelve months before the claim. Otherwise, each party's total liability in any twelve month period is limited to the fees you paid us in the preceding three months, and never less than the setup fee. Neither party is liable for indirect or consequential loss, including lost profit. These limits do not apply to fees you owe, to fraud or wilful misconduct, or to anything the law does not allow to be limited, and neither of us waives a right the law does not allow to be waived.
Clause 13Law and courts
This agreement is governed by the laws of the State of Delaware, without its conflict of laws rules, and the United Nations Convention on Contracts for the International Sale of Goods does not apply. The state and federal courts in Delaware decide disputes between us. This does not limit a claim by a person who received a message, or our duty under clause 12 to defend you where you are sued.
Clause 14This version, and changes
This is version 2026-10-15.2. The version in force on the day you sign applies to your agreement for as long as it runs. We only change the terms of a signed agreement with your written consent. A new version applies to agreements signed after its date, and every earlier version stays available on request at [email protected]. The Start Sheet, these terms, the kickoff confirmation email, any location addendum, and each signed Contact List Certification and Campaign Messaging Approval are the whole agreement for the Quote Comeback service. Notices go by email: to [email protected] for us, and to the signer's email on the Start Sheet for you. Neither party may transfer this agreement except to a buyer of its business, with notice. If a term is unenforceable, only that term is cut back, and only as far as needed.
